Orgline ("Orgline", "we", "us") is operated by Jeffrey Duane Madsen, a sole proprietor trading as Orgline. These Terms & Conditions form the agreement between you (and any organization you represent) and Jeffrey Duane Madsen for use of the Orgline web application and related services (the "Service").
1. Acceptance
By creating an account, accessing, or continuing to use the Service, you agree to these terms. If you are using the Service on behalf of an organization, you confirm you have authority to bind that organization. If you are using it as an individual, you confirm you are of legal age to enter a contract.
2. The Service
Orgline lets you build, maintain, and share organizational charts and a people directory for your workspace, including role descriptions, chart views, CSV import, exports, and optional public read-only share links. We grant you a limited, non-exclusive, non-transferable right to use the Service within the plan you have selected.
3. Accounts and accuracy
- You are responsible for keeping your account credentials confidential and for all activity under your account.
- You must provide accurate account and billing information and keep it up to date.
- You are responsible for the people data you upload, including having a lawful basis to store it and share it internally.
4. Acceptable use
You must not misuse the Service. In particular, you must not:
- use the Service for any unlawful purpose or in violation of applicable data protection law;
- engage in fraud, spam, or misrepresentation;
- infringe the intellectual property or privacy rights of others;
- interfere with the security or integrity of the Service, including malware, probing, penetration testing without consent, scraping, or circumventing technical limits such as plan seat caps;
- reverse engineer, resell, or redistribute the Service.
5. Your content
You retain ownership of the data you put into Orgline. You grant us a limited license to host, process, and display that data solely to provide and support the Service. Public share links you create are readable by anyone holding the link until you revoke them; you decide what to publish.
6. Intellectual property
We retain all ownership of the Service and its intellectual property, including the software, design, documentation, and Orgline branding. Nothing in these terms transfers those rights to you.
7. Service level
We work to keep Orgline available and reliable, but we do not guarantee uninterrupted or error-free performance. Maintenance, third-party outages, and unforeseen incidents can interrupt access.
8. Payment, subscriptions, and refunds
Paid plans are billed in advance on a monthly or annual basis through our reseller. Payment, billing, currency, tax, invoicing, renewal, cancellation, and refund mechanics are handled under Paddle's Buyer Terms. Our own refund commitment is set out in our Refund Policy. You can cancel at any time; cancellation takes effect at the end of the current billing period, and downgrades may reduce the number of people your workspace can hold.
9. Merchant of Record
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
10. Suspension and termination
We may suspend or terminate access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. Where practical we will give notice and an opportunity to fix the issue. You may stop using the Service at any time. On termination you may export your data for a reasonable period, after which we may delete it.
11. Warranties and liability
To the fullest extent permitted by law, the Service is provided "as is" and we disclaim implied warranties of merchantability and fitness for a particular purpose. We are not liable for indirect, consequential, or special damages, including lost profits, lost data, or loss of goodwill. Our aggregate liability is limited to the fees you paid in the twelve months before the claim. Nothing here excludes liability for fraud, death, or personal injury where the law does not allow exclusion.
12. Indemnity
You will indemnify us against claims arising from your content, your unlawful use of the Service, or your breach of these terms.
13. General
These terms are governed by the laws of the State of Nebraska, United States, and disputes will be heard in the courts of that jurisdiction. You may not assign this agreement without our consent; we may assign it in connection with a merger or acquisition. Neither party is liable for delays caused by events beyond reasonable control. We may update these terms and will change the "last updated" date above; continued use after an update means you accept the revised terms.
